TERMS OF SERVICE

FOR ALL USERS

These Terms of Service (“Terms“) govern your use of the Quickers Services (as defined below), and are entered into by you and Quickers (“Quickers“, “we“, “us“, or “our“).

BY ACCESSING OR USING THE QUICKERS SERVICES, YOU CONFIRM YOUR AGREEMENT TO BE BOUND BY THESE TERMS AND ACKNOWLEDGE AND AGREE TO OUR PRIVACY POLICY, WHICH EXPLAINS HOW WE COLLECT, USE, AND SHARE YOUR INFORMATION, AND WHICH CAN BE FOUND AT:

I. DEFINITIONS

“Courier(s)” means independent delivery partners matched by the Quickers Platform to conduct delivery services in relation to orders placed by Users.

“Merchant(s)” means restaurants, retailers, specialty shops, and other businesses that list their products on the Quickers Platform to benefit from the Quickers Services, including their FREE digital storefront, product listings, and order processing.

“Quickers Account” means your registered personal account on the Quickers App.

“Quickers App” means our mobile and web application that allows Users to browse Merchant stores, view products, place orders, and access delivery services.

“Quickers Platform” means our proprietary software platform that connects Merchants, Users, and Couriers, enabling:

  • Mobile e-commerce-as-a-service (MaaS) – Your free digital storefront

  • Delivery-fleet-as-a-service (DaaS) – Fast and reliable last-mile delivery

  • Marketing & Analytics Services – Customer insights and promotional tools

“Quickers Services” means all services provided by Quickers through the Quickers Platform, including but not limited to:

  • Free digital storefront for Merchants

  • Product listing and management tools

  • Order processing and fulfillment

  • Delivery services

  • Marketing and promotional services

  • Customer support services

“User” or “you” means any individual who registers for, accesses, or uses the Quickers Platform in any way, including customers placing orders.


II. USE OF THE QUICKERS SERVICES

2.1 Account Registration

To use the Quickers Services, you must create a Quickers Account. You agree that:

  • You are responsible for all activities and transactions that occur under your Quickers Account

  • You will maintain the security and confidentiality of your password and account information

  • You will provide accurate, current, and complete information during registration

  • You will update your information promptly if it changes

2.2 Acceptable Use

You agree NOT to:

  • Copy, modify, distribute, sell, or lease any part of the Quickers Services

  • Reverse engineer, decompile, or attempt to extract the source code of the Quickers Services

  • Access the Quickers Services through automated means (scraping, bots, crawlers)

  • Frame or mirror any part of the Quickers Services

  • Interfere with or disrupt the integrity or performance of the Quickers Services

  • Attempt to gain unauthorized access to the Quickers Services or its related systems

  • Use the Quickers Services for any illegal or unauthorized purpose

2.3 License

Subject to your compliance with these Terms, Quickers grants you a limited, non-exclusive, non-transferable, revocable license to use the Quickers Services for their intended purpose. All rights not expressly granted to you are reserved by Quickers.


III. PRICING AND PAYMENT

3.1 Order Total

The total price of your order will be displayed on the checkout page and includes:

  • Price of ordered items – As set by the Merchant

  • Delivery fee – As determined by Quickers based on distance, time, and demand

  • Service fees – If applicable, as displayed at checkout

  • Taxes and applicable charges – As required by law

3.2 Price Adjustments

The price of ordered items may change ONLY in the following circumstances:

  • Weight-based items – Where the final weight differs from the estimated weight (e.g., fresh produce, meat)

  • Modifications – Where you request changes to your order after submission

  • Substitutions – Where items are unavailable and you approve a replacement

In such cases, the adjusted price will be reflected in your electronic invoice. If payment was made by card, the difference will be debited or credited to your card accordingly.

3.3 Promotional Pricing

From time to time, Quickers may offer promotional pricing, discounts, or special offers. These are subject to specific terms communicated at the time of the offer and may be modified or withdrawn at any time at our sole discretion.


IV. CREDITS AND PROMOTIONS

4.1 Types of Credits

Quickers may grant Users credits under the following categories:

Loyalty Credits Earned after completing a defined number of orders with specific Merchants Automatically applied to next order 90 days
Promotional Credits Issued via promo codes, campaigns, or special offers Manual entry or auto-apply As specified
Cashback Credits Percentage of order value returned after successful delivery Automatically applied to next order 90 days
Gift Card Credits Purchased or received as gifts Added to wallet balance 1 year

4.2 Credit Rules

  • Credits are automatically applied to eligible transactions

  • Credits expire 90 days from issuance date unless otherwise specified

  • Credits are non-transferable and cannot be exchanged for cash

  • Credits are non-refundable and cannot be redeemed for cash value

  • Credits applied to cancelled orders will be restored to your account

4.3 Modification and Revocation

Quickers reserves the right to modify, suspend, limit, or revoke any credits at any time, in its sole and absolute discretion, with or without notice. This includes, but is not limited to, credits obtained through fraudulent means, technical errors, or abuse of our promotional systems.


V. ORDER CANCELLATION AND REFUND POLICY

5.1 Order Cancellation

You may cancel an order immediately after placing it, provided the Merchant has not yet confirmed and started preparing the order.

Once the Merchant confirms the order and begins preparation, cancellation is no longer possible. In such cases, you may refuse delivery, but you remain responsible for the full order amount.

5.2 Refund Policy

At Quickers, our top priority is your complete satisfaction. If you are not satisfied with your order, please contact our support team through the Quickers App within 24 hours of delivery.

We will investigate your reported issue and, at our sole and absolute discretion, may:

  • Issue a credit to your Quickers Account

  • Provide a partial or full refund to your original payment method

  • Coordinate with the Merchant for a replacement

NOTHING HEREIN SHALL BE CONSTRUED AS A GUARANTEE OF REFUND ON THE PART OF QUICKERS.

5.3 Failed Deliveries

If delivery fails due to:

  • Incorrect address provided by you – You remain responsible for the full order amount

  • Unavailability of recipient – You remain responsible for the full order amount

  • Circumstances beyond Quickers’ control – Subject to review on a case-by-case basis


VI. REPLACEMENT AND SUBSTITUTION POLICY

6.1 Unavailable Items

If items you ordered are unavailable, Quickers may:

  • Attempt to contact you via call or in-app notification to discuss alternatives

  • Offer substitutions of equal or greater value (you will only be charged the original item price)

  • Cancel the unavailable items and adjust your total accordingly

  • Cancel the entire order if you are not satisfied with available alternatives

6.2 Wrong or Damaged Items

If you receive:

  • Wrong items – Please notify us within 24 hours of delivery

  • Damaged items – Please provide photos through the Quickers App

We will:

  1. Coordinate with the Merchant for a replacement, OR

  2. At our sole discretion, credit your Quickers Account with the item’s value

NOTHING HEREIN SHALL BE CONSTRUED AS A GUARANTEE OF REPLACEMENT OR CREDIT ON THE PART OF QUICKERS.


VII. QUICKERS CASH – DIGITAL WALLET TERMS

7.1 Definitions

“Quickers Cash Balance” means the electronic balance displayed in your Quickers Account, denominated in:

  • USD Quickers Cash – United States Dollars

  • LBP Quickers Cash – Lebanese Pounds

“Quickers Cash Service” means the digital wallet service that allows you to load funds into your Quickers Cash Balances and use them as a payment method for Transactions.

“Transaction(s)” means the purchase of goods or services via the Quickers Platform.

“Loading Method” means any of the following methods to load your Quickers Cash Balances:

  • Cash Payment to Courier

  • Credit/Debit Card Payment

  • Other payment methods made available by Quickers

7.2 Contractual Agreement

These Quickers Cash Terms constitute a legally binding agreement between you and Quickers. By accessing or using the Quickers Cash Service, you:

  • Agree to be bound by these Terms and our General Terms

  • Acknowledge that when you select Quickers Cash as a payment method, Quickers will pay the Merchant on your behalf by debiting your Quickers Cash Balance

  • Agree that you will select the currency of payment (LBP, USD, or split between both)

7.3 Loading Your Quickers Cash Balance

Cash Payment:

  • You may pay the Courier upon delivery: (i) the Transaction amount; and (ii) an additional amount to top-up your Quickers Cash Balance

  • The Courier will enter the exact additional amount in the application

  • Your Quickers Cash Balance will be updated immediately

Card Payment:

  • Card payments load funds into your LBP Quickers Cash Balance only

  • Local cards: Exchange rate fixed at 15,000 LBP = 1 USD

  • International cards / Fresh USD cards: Exchange rate set by Quickers via the App (subject to change at any time)

  • The exchange rate will be displayed before you confirm the reload

7.4 Expiry and Refunds

  • Quickers Cash Balances do not expire and remain available indefinitely

  • Quickers Cash is non-refundable and cannot be redeemed for cash except where required by law or expressly permitted in these Terms

  • Bonus credits and promotional amounts may be subject to expiry dates communicated via the Quickers App

7.5 Termination of Quickers Cash Service

If Quickers ceases to offer the Quickers Cash Service, your available balance will be, at Quickers’ sole discretion:

  1. Transferred to you as service credits in your Account; OR

  2. Redeemed to you in cash via Courier delivery within 30 days (you will be required to sign a release letter)


VIII. FREE DIGITAL STOREFRONT – MERCHANT TERMS

8.1 Your Free Store

Quickers provides every Merchant with a FREE, fully-featured digital storefront, including:

  • Professional store page with custom branding

  • Real-time menu/product management

  • Bilingual support (English/Arabic)

  • Mobile-optimized design

  • Unique store URL

  • Order management dashboard

  • Sales analytics and insights

8.2 Merchant Obligations

As a Merchant, you agree to:

  • Maintain accurate product listings, pricing, and availability

  • Fulfill orders in a timely manner

  • Maintain quality standards for your products

  • Comply with all applicable laws and regulations

  • Not list prohibited items or engage in illegal activities

  • Update your store information promptly when changes occur

8.3 Commission and Fees

  • Zero setup cost – Free to join

  • Zero monthly fee – No recurring charges

  • Zero listing fees – Add unlimited products

  • Commission – Only pay when you sell (competitive rates displayed in your Merchant dashboard)

  • Weekly payouts – Fast, reliable settlement

8.4 Merchant Termination

Quickers may terminate or suspend a Merchant’s access to the Quickers Services at any time, with or without cause, including but not limited to:

  • Violation of these Terms

  • Poor performance or customer satisfaction ratings

  • Fraudulent activity

  • Extended period of inactivity

  • Legal or regulatory requirements


IX. COURIER / DELIVERY PARTNER TERMS

9.1 Independent Contractor Status

YOU EXPRESSLY ACKNOWLEDGE AND AGREE THAT:

  • You are providing delivery services to Quickers on a freelance, independent contractor basis

  • No employment relationship is created between you and Quickers

  • You are free to use the Quickers Platform and provide Delivery Services at any time you are available

  • You are not eligible for employee benefits, including pension, health insurance, social security, or other fringe benefits

  • You are responsible for your own taxes, insurance, and social security contributions

  • These Terms are governed by Articles 657 et seq. of the Lebanese Code of Obligations and Contracts

9.2 Compensation

  • You will receive commission per successfully completed Order

  • Commission rates will be agreed upon at the start of your engagement

  • Commissions are calculated based on:

    • Delivery distance and time

    • Order value (for certain order types)

    • Peak hours and surge pricing (when applicable)

  • Weekly payouts – Settlements every Wednesday for the prior week

  • All earnings are displayed in real-time in your Courier dashboard

9.3 Performance and Eligibility

  • Part-time availability – Open to all Couriers

  • Full-time eligibility – May be considered at Quickers’ sole discretion based on:

    • Consistent online presence

    • Minimum completed order volume

    • High customer satisfaction ratings

    • Adherence to safety and quality standards

NOTHING HEREIN SHALL CONSTITUTE OR BE DEEMED TO CONSTITUTE AN EMPLOYMENT RELATIONSHIP OR AN OBLIGATION TO HIRE YOU ON A FULL-TIME OR PART-TIME BASIS.

9.4 Courier Obligations

As a Courier, you agree to:

  • Use the Quickers Platform only for lawful purposes

  • Present yourself professionally – Clean appearance, respectful demeanor

  • Safeguard cash collections – Cash payments collected are the sole property of Quickers; remit them daily

  • Maintain vehicle standards – Ensure your vehicle is roadworthy, properly insured, and legally registered

  • Wear safety gear – Helmet use is MANDATORY at all times while riding

  • Follow traffic laws and safe driving practices

  • Keep your account credentials secure and confidential

9.5 Immediate Termination Events

Quickers reserves the right to immediately terminate this Agreement and revoke your access to the Quickers Platform WITHOUT NOTICE in the following circumstances:

Violation Consequence
Unauthorized use or misappropriation of customer funds Immediate termination, legal action
Misconduct toward customers, Merchants, or Quickers personnel Immediate termination
Fraud, gross negligence, or willful misconduct Immediate termination, legal action
Conviction of a felony or similar crime Immediate termination
Repeated poor performance or low ratings Termination after warning(s)
Use of unregistered or unsafe vehicle Suspension until compliance

9.6 Arabic Language Prevails

These Courier Terms are provided in both English and Arabic. In the event of any inconsistency or conflict between the English and Arabic versions, the Arabic version shall prevail.


X. QUICKERS SERVICES PROVIDED “AS IS”

THE QUICKERS SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUICKERS DISCLAIMS ALL REPRESENTATIONS AND WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

QUICKERS MAKES NO REPRESENTATION, WARRANTY, OR GUARANTY REGARDING:

  • The reliability, timeliness, quality, suitability, or availability of the Quickers Services

  • Any services provided by Couriers

  • Any goods or services requested through or provided by Merchants

  • That the Quickers Services will be uninterrupted, secure, or error-free

  • The quality, suitability, safety, or ability of Couriers or Merchants

YOU AGREE THAT THE ENTIRE RISK ARISING OUT OF YOUR USE OF THE QUICKERS SERVICES, ANY SERVICES PROVIDED BY COURIERS, OR ANY GOODS OR SERVICES REQUESTED FROM MERCHANTS REMAINS SOLELY WITH YOU.


XI. LIMITATION OF LIABILITY

11.1 Third-Party Responsibility

YOU AGREE THAT QUICKERS DOES NOT ASSUME RESPONSIBILITY FOR:

  • Any goods, services, content, websites, advertisements, offers, or information provided by third parties (including Merchants and Couriers)

  • The acts or omissions of any Merchant or Courier

  • Any dispute you may have with any Merchant or Courier

If you have a dispute with one or more Merchants or Couriers, YOU AGREE TO RELEASE QUICKERS (including its affiliates, officers, directors, employees, agents, shareholders, partners, licensors, and suppliers) FROM ANY CLAIMS, LIABILITIES, LOSSES, OR DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED TO SUCH DISPUTES.

11.2 No Consequential Damages

IN NO EVENT SHALL QUICKERS (INCLUDING ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SHAREHOLDERS, PARTNERS, LICENSORS, AND SUPPLIERS) BE LIABLE TO YOU FOR ANY INCIDENTAL, SPECIAL, PUNITIVE, CONSEQUENTIAL, OR INDIRECT DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Damages for deletion, corruption, or loss of data

  • Loss of programs or failure to store information

  • Service interruptions

  • Cost of procurement of substitute services

  • Physical damages, bodily injury, death

  • Emotional distress and discomfort

EVEN IF WE OR OUR AGENTS OR REPRESENTATIVES KNOW OR HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.3 Cap on Liability

QUICKERS’ AND ITS AFFILIATES’ MAXIMUM AGGREGATE LIABILITY IN RESPECT OF ALL CLAIMS RELATING TO THE QUICKERS SERVICES SHALL BE CAPPED AT THE LOWER OF:

(X) THE AMOUNTS PAID BY YOU TO QUICKERS FOR THE PAST 12 MONTHS (being the delivery fees paid to Quickers for all orders delivered to you); OR

(Y) 10,000 USD (TEN THOUSAND UNITED STATES DOLLARS).

THIS PROVISION APPLIES TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.


XII. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Quickers and its officers, directors, employees, agents, and affiliates (each an “Indemnified Party“) from and against any and all losses, claims, actions, costs, damages, penalties, fines, and expenses, including without limitation attorneys’ and experts’ fees and expenses, that may be incurred by an Indemnified Party arising out of, relating to, or resulting from:

  • Your unauthorized use of the Quickers Services

  • Any breach by you of these Terms

  • Any actual or alleged violation of any law, rule, or regulation

  • Your disputes with Merchants or Couriers


XIII. INTELLECTUAL PROPERTY

13.1 Ownership

The Quickers Services, Quickers Platform, Quickers App, and all content, features, functionality, and intellectual property rights therein are and shall remain the exclusive property of Quickers and its licensors.

13.2 Copyright Policy

Quickers respects the intellectual property rights of others and has implemented a copyright policy in accordance with applicable laws. Quickers will respond to valid notices of copyright infringement and reserves the right to terminate any User, at its sole discretion and without notice, who repeatedly infringes copyrights or other intellectual property rights.

13.3 Trademarks

The Quickers name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Quickers or its affiliates. You may not use such marks without the prior written permission of Quickers.


XIV. TERMINATION

14.1 By You

You may stop using the Quickers Services at any time and without notice to us. You may delete your Quickers Account through the App or by contacting our support team.

14.2 By Quickers

Quickers may terminate or suspend your access to the Quickers Services at any time, with or without cause, with or without notice, effective immediately, including but not limited to:

  • Violation of these Terms

  • Extended period of inactivity

  • Fraudulent or illegal activity

  • Requests by law enforcement or government agencies

  • Technical or security issues

  • Discontinuation of the Quickers Services

14.3 Survival

Upon termination, all provisions of these Terms which by their nature should survive termination shall survive, including but not limited to:

  • Limitation of Liability

  • Indemnification

  • Governing Law and Disputes

  • Intellectual Property provisions


XV. ASSIGNMENT

You may not assign any of your rights, licenses, or obligations under these Terms. Any such attempted assignment by you shall be void.

Quickers may assign its rights, licenses, and obligations under these Terms without limitation, including in connection with a merger, acquisition, reorganization, sale of assets, or operation of law.


XVI. ENTIRE AGREEMENT AND SEVERABILITY

16.1 Entire Agreement

These Terms, together with our Privacy Policy and any additional written agreements you enter into with Quickers, constitute the entire agreement between you and Quickers with respect to the Quickers Services and supersede all prior or contemporaneous understandings, agreements, representations, and warranties.

16.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.


XVII. NO WAIVER

Quickers’ failure to enforce or monitor any provision of these Terms does not constitute a waiver of its right to do so in the future with respect to that provision, any other provision, or these Terms as a whole.


XVIII. CHANGES TO THE TERMS

You acknowledge and agree that Quickers may modify these Terms at any time, with or without notice to you, subject to applicable law.

  • Quickers will post the most current version of these Terms on its website and within the Quickers App

  • For material changes, we may notify you via email or through the Quickers App

  • By continuing to use or access the Quickers Services after revised Terms come into effect, you agree to be bound by the revised Terms


XX. LANGUAGE

These Terms may be provided in both English and Arabic. Both language versions shall have equal validity. In the event of any inconsistency or conflict between the English and Arabic versions, the Arabic version shall prevail for all matters arising in Lebanon.

ACKNOWLEDGMENT OF TERMS

BY ACCESSING OR USING THE QUICKERS SERVICES, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY ALL TERMS AND CONDITIONS SET FORTH HEREIN, INCLUDING ANY FUTURE MODIFICATIONS.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE QUICKERS SERVICES.
